01Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to and use of the platform, services, and website (collectively, the “Services”) provided by Lane Technologies, Inc. (“Lane”, “we”, “us”, or “our”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

02Description of Services

Lane provides middleware that makes merchant stores discoverable and purchasable by AI agents, including protocol translation, product enrichment, and payment infrastructure. We may add, modify, or discontinue features at any time. We do not guarantee that the Services will always be available or error-free.

03Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements.

04Accounts and Registration

To access certain features you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

05Acceptable Use

You agree not to:

• Use the Services for any unlawful, fraudulent, or unauthorized purpose
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorized access to the Services or related systems
• Reverse engineer, decompile, or otherwise attempt to extract source code, except as permitted by law
• Resell, sublicense, or commercially exploit the Services without our written consent
• Upload or transmit malicious code, or use the Services to infringe the rights of others

06Fees and Payment

Certain features of the Services may require payment of fees. You agree to pay all applicable fees and authorize us (or our third-party payment processors) to charge your designated payment method. Fees are non-refundable except as required by law or expressly stated. We may change our fees with reasonable notice.

07Intellectual Property

The Services, including all software, content, and trademarks, are owned by Lane or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. You retain ownership of the content and data you submit, and grant us a license to use it as necessary to provide the Services.

08Third-Party Services and Integrations

The Services may integrate with third-party platforms (such as e-commerce platforms, AI platforms, and payment processors). Your use of those services is governed by their own terms and policies. We are not responsible for the availability, accuracy, or practices of third-party services.

09Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, or error-free.

10Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LANE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. Our total liability for any claim shall not exceed the amounts you paid to us in the twelve (12) months preceding the claim.

11Indemnification

You agree to indemnify and hold harmless Lane and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the Services, your violation of these Terms, or your infringement of any rights of a third party.

12Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination (including ownership, disclaimers, and limitations of liability) will survive.

13Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.

14Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and revising the “Last Updated” date. Your continued use of the Services after the changes become effective constitutes your acceptance of the revised Terms.
